Oakland Business Tax Account When Your Company Changes Hands

Reviewed November 2, 2026 by the Oakland Business Brokers Team research desk

Operating in Oakland means a city business tax account. Oakland Business Brokers Team explains what happens to yours when the company is sold.

Watch for this: The city's current guidance says business tax accounts are not transferable, so a buyer should not keep using yours.

The City Keeps Its Own Account

Oakland charges its own business tax, and companies hold a business tax certificate through the city's Finance Department.

For most companies the tax is based on gross receipts, so the city cares about the numbers on your books as well as the name on the door.

Accounts Do Not Pass to the Buyer

The city's present guidance says a new owner should not take over the old owner's account. The old owner closes the account, and the new owner applies for a new one.

Older city rulings described a transfer with a fee, so ask the Business Tax Office which process applies to your sale today.

Write down who you spoke with and when. If a bill arrives later, that note settles the question quickly.

What a Seller Does

  • Make sure every return and payment is current through the closing date
  • Ask the office how to close the account and what final filing it expects
  • Keep copies of the closing confirmation for your records
  • Give the buyer the account details they need to apply, not your login

Mistakes That Cause Bills

Owners sometimes forget to close the account, so renewal notices and penalties keep arriving after the sale. A buyer who runs under the old certificate can also create problems for you. Close it out and keep proof.

What a Buyer Does

The buyer applies for a business tax certificate in their own name, usually before opening day under the new owner. If the buyer starts operating before the account exists, penalties can follow, so line the dates up with the closing.

Why Gross Receipts Matter in a Sale

Because the city bases its tax on receipts, a buyer may ask for your filed returns to confirm sales. Those returns should match your tax filings and your books. A gap invites questions and can lower the price a buyer will pay.

Timing With Other Filings

City steps run alongside the state ones. Your sales tax account is covered in CDTFA tax clearance, and your entity cleanup in the certificate of cancellation guide.

Other East Bay cities run their own accounts too. A sale in Alameda or Emeryville means calling that city, not Oakland.
